These Terms of Service (“Terms”) govern access to and use of the Livelytics.ai platform, including software, analytics tools, dashboards, APIs, data integrations, and related services (collectively the “Services”).
By accessing or using Livelytics.ai, you agree to these Terms. If you do not agree, you may not use the Services.
1. Company Information
Livelytics.ai is an AI-powered analytics platform designed to help restaurants, retail businesses, and enterprise organizations analyze operational data, identify insights, and optimize performance.

2. Eligibility
You represent and warrant that:
- You are at least 18 years old
- You have authority to bind your organization
- Your use of the platform complies with all applicable laws
Enterprise customers represent that the person signing the agreement has authority to act on behalf of the organization.
3. Services Provided
Livelytics.ai provides enterprise data analytics and AI-powered insights including:
- Operational analytics dashboards
- Data aggregation and normalization
- POS system integrations
- AI-driven insights and recommendations
- Forecasting and anomaly detection
- Financial performance analytics
- Multi-location benchmarking
- Reporting and data visualization
- APIs and data connectors
Features may evolve over time. Livelytics.ai reserves the right to improve or modify the platform to maintain performance and innovation.
4. Customer Accounts
To access the Services, customers must create an account.
Customers are responsible for:
- Maintaining account security
- Protecting login credentials
- Ensuring authorized users comply with these Terms
You agree to notify Livelytics.ai immediately of any unauthorized access.
5. Acceptable Use Policy
You agree not to:
- Reverse engineer the platform
- Attempt unauthorized system access
- Upload malicious software
- Use the platform for unlawful activity
- Interfere with platform operation
Livelytics.ai may suspend accounts that violate acceptable use.
6. Customer Data Ownership
Customers retain ownership of all data uploaded or connected to the platform, including:
- POS transaction data
- Operational metrics
- Financial data
- Business performance information
Livelytics.ai processes this data solely to provide analytics services.
Livelytics.ai may use aggregated and anonymized data for:
- Platform improvement
- Product development
- Industry benchmarking
Such data will never identify individual businesses.
7. AI and Analytics Disclaimer
Livelytics.ai provides insights generated by machine learning and artificial intelligence models. These insights are designed to assist operational decision-making.
However:
- AI-generated recommendations may not always be accurate
- Results may vary depending on data quality
- Livelytics.ai does not guarantee financial or operational outcomes
Customers should use professional judgment when acting on insights.
8. Subscription & Payment Terms
Livelytics.ai is offered on a subscription-based SaaS model.
Billing may occur:
- Monthly
- Annually
- Under enterprise contracts
Fees may be based on:
- Number of locations
- Number of users
- Data integrations
- Platform modules
Subscriptions renew automatically unless cancelled prior to renewal.
9. Payment Processing
Payments may be processed through secure third-party providers including:
- Ace Merchant Processing
- ACH processors
- Payment gateways
- Enterprise invoicing systems
All payments are processed through PCI-DSS compliant payment infrastructure.
Livelytics.ai does not store full credit card numbers on its servers.
10. Platform Availability
Livelytics.ai targets 95.5% platform uptime excluding:
- Scheduled maintenance
- Emergency security updates
- External service outages
We may perform maintenance to maintain system security and reliability.
11. Security and SOC 2 Alignment
Livelytics.ai follows security practices aligned with SOC 2 Type II Trust Service Principles, including:
- Logical access controls
- Encryption of data in transit and at rest
- Infrastructure monitoring
- Incident response procedures
- Security audits and logging
- Role-based access control
- Data segregation
These measures are designed to protect the confidentiality, integrity, and availability of customer data.
12. Third-Party Integrations
The platform may integrate with systems including:
- POS systems
- Restaurant management platforms
- ERP systems
- Cloud storage providers
- Analytics platforms
Livelytics.ai is not responsible for outages or policy changes of third-party providers.
13. Intellectual Property
All intellectual property related to the platform including:
- Software code
- Algorithms
- Models
- User interface design
- Platform architecture
is owned by Livelytics.ai. Customers are granted a limited license to use the platform during their subscription period.
14. Confidentiality
Both parties agree to protect confidential information including:
- Business data
- Proprietary technology
- Financial information
- Strategic information
Confidential information may not be disclosed without consent.
15. Limitation of Liability
To the fullest extent permitted by law, Livelytics.ai shall not be liable for:
- Indirect damages
- Lost revenue
- Business interruption
- Loss of data
Total liability shall not exceed fees paid during the previous 12 months.
16. Indemnification
Customers agree to indemnify Livelytics.ai against claims arising from:
- Misuse of the platform
- Violation of applicable laws
- Unauthorized data uploads
17. Termination
Either party may terminate services:
- Upon expiration of contract term
- For breach of Terms
- For non-payment
Upon termination, access to the platform may be revoked.
18. Governing Law
These Terms are governed by the laws of the State of Texas, United States.
